Terms of Service

01Acceptance

These Terms of Service (the "Terms"), together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Sub-processors list (together, the "Agreement"), govern access to and use of the Mavi Payplatform, websites, and related services (the "Service").

By creating an account, listing a product, or otherwise using the Service, you agree to this Agreement. If you do not agree, you may not use the Service.

02Who we are

Mavi Pay is a product of mavi Finans. The Service is operated by mavi Finans, with its place of business in Limassol, Republic of Cyprus ("Mavi Pay", "we", "us", or "our").

03The Service

Mavi Pay is a merchant-of-record payment platform for sellers of digital products and services (software, SaaS subscriptions, downloads, memberships, and similar). You appoint Mavi Pay as a non-exclusive reseller of your products for sales completed through the Service. We provide:

• a seller account and dashboard;
• a hosted, Mavi Pay-branded checkout;
• payment acceptance via our payment processor;
• tax calculation, collection, invoicing, and record-keeping as described in §05;
• auto-delivery of digital goods (file, licence key, or access), where configured; and
• seller balance tracking and payouts, subject to §07.

The Service is not for physical goods, shipping, marketplaces of second-hand goods, peer-to-peer wallet transfers, or categories barred by our Acceptable Use Policy.

04Merchant of Record

For sales processed through Mavi Pay, Mavi Pay acts as the merchant of record (reseller of record) for that transaction. This means:

• Mavi Payis the seller named on the buyer's invoice for the purchase;
• Mavi Pay charges the buyer, captures payment, and issues a sequential invoice (e.g. MAVI-YYYY-NNNNNN);
• you remain responsible for the product itself, its description, lawful content, fitness for purpose, and ongoing product support to the buyer.

You must not issue a separate sales invoice to the buyer for the same transaction, or demand payment from the buyer outside the Service for that sale.

05Taxes & VAT

As merchant of record, Mavi Pay:

• determines the buyer's place of supply (country) for digital services where applicable;
• looks up and shows the applicable VAT rate before payment;
• collects VAT as part of the checkout total where required;
• records net, VAT, and gross in integer minor units (cents) with a VAT record per sale; and
• issues an invoice naming Mavi Pay as seller of record, plus a credit note (e.g. MAVI-CN-YYYY-NNNNNN) when a sale is refunded.

Filing and remittance of collected VAT to tax authorities is managed by mavi Finans according to applicable law and may be phased in as registrations and professional advice require. Until remittance is fully enabled for a given jurisdiction, amounts are collected and recorded and may be reported via dashboard export for compliance readiness. Automated tax filing is only offered where we have confirmed that service.

You are solely responsible for your own income, corporate, and other business taxes arising from use of the Service. You must provide accurate tax and identity information when we request it. Inaccurate product or tax classification information is your responsibility; you will indemnify Mavi Pay for losses arising from incomplete or wrong information you supply.

06Payment processing

Card and related payment processing is provided by our third-party payment processor, Stripe, Inc.(and its affiliates), and is subject to Stripe's terms and privacy policy. Mavi Pay does not store full card numbers; card data is handled by the processor. Availability of payment methods (cards, European bank methods, and wallets) may vary by country and by configuration.

You agree to the rules of the payment networks and the processor. We may reverse, delay, or refuse payouts where network rules, fraud risk, or law require it.

07Fees and payouts

Mavi Pay charges a platform fee on each sale, plus underlying payment-processing costs (pass-through), as described on our pricing page. Fee tiers may depend on account type (Person / Business) and plan. Fees may change with reasonable notice.

For each successful sale, your seller balance accrues the net amount after platform fee and processing costs, less refunds, chargebacks, and other amounts you owe under this Agreement. We may hold, set off, or reverse amounts for refunds, chargebacks, network fines, taxes, and investigation costs.

Payouts. Payout schedules, minimum thresholds, and bank and identity requirements are described in the dashboard. We may delay or suspend payouts where verification is incomplete or risk requires it. Test mode never moves real money.

08Seller obligations

You agree to:

• sell only lawful digital goods you are authorised to sell;
• provide accurate account, tax, and product information and keep it up to date;
• describe products honestly and support buyers for the product itself;
• comply with the Acceptable Use Policy and all applicable laws;
• cooperate promptly (and in any event within 72 hours where practicable) with requests needed for refunds, disputes, chargebacks, or compliance checks;
• not conceal Mavi Pay's role as reseller or alter checkout disclosures in a way that misleads buyers.

You may not use Mavi Pay for:

• illegal goods or content, fraud, or intellectual-property infringement;
• high-risk categories we do not support (for example certain regulated, adult, or gambling products);
• any activity that violates processor or card-network rules.

09Refunds & chargebacks

As merchant of record, refunds to buyers are processed through Mavi Pay (and our payment processor), not by you paying the buyer directly for that sale. When a refund is completed, we record it in the books, reverse the sale status, and issue a credit note where applicable.

Refunds and chargebacks (including processor or network fees) are deducted from your balance. Excessive chargeback or refund rates may lead to review, method restrictions, reserves, or suspension. You must not encourage chargebacks as a substitute for a refund request.

10Intellectual property

You retain all rights to your products and brands. You grant Mavi Pay a non-exclusive licence during the term to host, display, market, resell, and deliver those products through the Service, and to use product information as needed to operate checkout, invoices, and support.

Mavi Pay, the mavi pay marks, software, and documentation remain the property of mavi Finans or its licensors. You receive only the rights needed to use the Service.

11Suspension & termination

We may suspend or terminate accounts that breach this Agreement, present legal, fraud, or chargeback risk, or violate processor or network rules. You may close your account at any time via the dashboard or by contacting support. Certain financial and tax records are retained as required by law.

On termination we may retain a reasonable reserve against open refunds, chargebacks, and active subscriptions before releasing remaining balances.

12Disclaimers & liability

The Service is provided "as is" and "as available" to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation.

To the extent permitted by law, Mavi Pay's aggregate liability arising out of the Service is limited to the platform fees we actually retained from your sales in the six (6) months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential losses. Nothing limits liability that cannot be limited by law (including fraud or death/personal injury caused by negligence where such limitation is void).

13Governing law

These Terms are governed by the laws of the Republic of Cyprus. Subject to mandatory consumer or other rights that cannot be waived, disputes are subject to the competent courts of Limassol, Republic of Cyprus.

14Changes

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide notice via the Service or email where appropriate. Continued use after the effective date means acceptance. If you do not agree, you must stop using the Service and may close your account.
